1. Agreement to Terms

By accessing or using the services provided by Everyday Digital AI ("Company," "we," "us," or "our"), operated by Leslie Barreto Tate, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Everyday Digital AI provides AI strategy consulting, training, coaching, and speaking services, including but not limited to:

• AI Training programs for organizations and individuals
• One-on-one and group coaching sessions
• The PIVOT Masterclass and other digital programs
• Speaking engagements and keynote presentations
• Strategic consulting for AI implementation

3. No Guarantee of Results

IMPORTANT DISCLAIMER: While we provide strategic guidance, training, and resources based on our expertise and experience, we make no guarantees regarding specific outcomes or results. Success depends on numerous factors outside our control, including but not limited to your individual effort, implementation, market conditions, and other circumstances unique to your situation.

Our services are educational and advisory in nature. Any testimonials, case studies, or examples shared represent individual results and are not guarantees of what you will achieve. Your results may vary significantly based on your effort, background, and other factors.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from your use of our services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
• We are not liable for any damages resulting from your failure to implement advice, your business decisions, or actions taken based on information provided in our programs.

5. Intellectual Property

All content, materials, methodologies, frameworks (including the PIVOT Framework), training materials, presentations, and other intellectual property provided through our services remain the exclusive property of Everyday Digital AI and Leslie Barreto Tate.

• You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit our materials without express written permission.
• Recording, transcribing, or redistributing any live sessions, training, or coaching calls is strictly prohibited unless explicitly authorized in writing.
• You are granted a limited, non-exclusive, non-transferable license to use our materials for your personal or internal business use only.

6. Payment Terms

By purchasing our services:

• You agree to pay all fees associated with the services you select.
• All payments are processed securely through Stripe.
• Prices are subject to change without notice, though changes will not affect orders already placed.
• Payment plans, when offered, must be completed according to the agreed schedule. Failure to complete payments may result in suspension of access to services.

7. Refund Policy

Our refund policy varies by service type:

• Digital Programs: Due to the immediate access to digital content, all sales of digital programs and courses are final. No refunds will be provided once access has been granted.
• Coaching Services: Coaching packages are non-refundable once sessions have begun. Unused sessions expire according to the terms specified at purchase.
• AI Training: Cancellation of training engagements must be made at least 14 days in advance for a full refund. Cancellations within 14 days are subject to a 50% cancellation fee.
• Speaking Engagements: Speaking engagement deposits are non-refundable. Final payments are due according to the speaker agreement terms.

8. Confidentiality

Both parties agree to maintain confidentiality:

• We will keep your business information, strategies, and personal details confidential and will not share them with third parties without your consent.
• You agree to keep our proprietary methodologies, frameworks, and training materials confidential and not share them with third parties.
• Confidentiality obligations survive the termination of our business relationship.

9. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information when requested
• Take responsibility for implementing advice and strategies discussed
• Attend scheduled sessions on time or provide at least 24 hours notice for rescheduling
• Not hold us liable for decisions you make based on our guidance
• Comply with all applicable laws and regulations in your use of our services

10. Indemnification

You agree to indemnify, defend, and hold harmless Everyday Digital AI, Leslie Barreto Tate, and our affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claim that your use of our services caused damage to a third party.

11. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved as follows:

• Governing Law: These Terms shall be governed by the laws of the State of New York, without regard to its conflict of laws provisions.
• Informal Resolution: Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us.
• Arbitration: Any disputes that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Termination

We reserve the right to terminate or suspend your access to our services at any time, without prior notice, for conduct that we believe violates these Terms, is harmful to other clients, or is otherwise objectionable. Upon termination, your right to use our services will cease immediately.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes indicates your acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Everyday Digital AI regarding your use of our services.

16. SMS Terms & Conditions

Everyday Digital AI may send SMS messages to users who opt in through our website forms or other approved consent methods.

Message types may include appointment confirmations, appointment reminders, service updates, account notifications, and other messages related to services requested from Everyday Digital AI.

If users separately opt in to marketing messages, they may also receive promotional messages, special offers, discounts, and updates from Everyday Digital AI.

Carriers are not liable for delayed or undelivered messages.

You must be 18 years of age or older to use this SMS service.
